1. Who We Are
StockPropel is operated by James Brown trading as StockPropel ("StockPropel", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the StockPropel Shopify application (the "App").
By installing or using the App, you ("Merchant", "you", or "your") agree to be bound by these Terms. If you do not agree, you must not install or use the App.
2. The App — What It Does
StockPropel connects to your Shopify store via Shopify's official API to analyse your sales velocity and inventory data. It classifies your product variants into commercial groups (Top Performer, Revenue Driver, Volume Driver, Slow Mover, Dead Stock) and surfaces portfolio-level insights to help you make informed decisions about your inventory.
The App also installs a lightweight tracking script on your Shopify storefront to collect product page view data, which is used to calculate a Views/Day metric per product variant. This is used solely to support the classification and insight features of the App.
Classification data is written to Shopify metafields on your products and variants, making it available to your connected tools and channels.
3. Eligibility
You must have a valid Shopify account and be authorised to install apps on that account to use StockPropel. By accepting these Terms, you confirm that you are acting on behalf of a business, not as a consumer.
4. Your Plan and Subscription
4.1 Starter Plan (Free)
The Starter plan is available at no charge. It provides access to the StockPropel dashboard, including headline portfolio metrics, At-Risk Value, Average Days of Stock, and top Slow Mover and Dead Stock summaries.
4.2 Founder Plan
The Founder plan is a paid subscription billed monthly at the price displayed in the App at the time of subscription. It includes access to the full Catalogue page with per-variant classification detail, the Insights modal, and StockPropel metafield writes to your Shopify store.
Billing is handled directly by Shopify through the Shopify Billing API. By upgrading to a paid plan, you authorise Shopify to charge your account on a recurring monthly basis. Subscription charges are governed by Shopify's billing terms.
4.3 Plan Changes and Cancellation
You may downgrade or cancel your subscription at any time via the App's Plan settings. Downgrading to the Starter plan takes effect at the end of your current billing period. StockPropel does not issue refunds for partial billing periods unless required by applicable law.
5. Acceptable Use
You agree to use the App only for lawful purposes and in accordance with these Terms. You must not:
- Attempt to circumvent, reverse-engineer, or tamper with the App's classification logic, data pipeline, or infrastructure;
- Use the App to process data from stores you do not own or are not authorised to manage;
- Attempt to extract, scrape, or systematically download data from the App beyond your normal use of the interface;
- Use the App in any way that could damage, disable, or impair the service or interfere with other merchants' access to it;
- Resell, sublicense, or otherwise commercialise access to the App or its outputs without our prior written consent.
6. Data and Privacy
Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy sets out in detail what data we collect, how we process it, and your rights in relation to it.
You acknowledge that StockPropel accesses your Shopify store's product, inventory, and sales data via Shopify's API, and that this data is stored in our secure cloud infrastructure (Supabase) for the purpose of providing the App's features.
You are responsible for ensuring that your use of the App — including any use of the metafield data in your own marketing channels, advertising platforms, or third-party tools — complies with applicable data protection and advertising law.
7. Intellectual Property
All intellectual property rights in the App, including its classification engine, user interface, algorithms, and documentation, are owned by James Brown trading as StockPropel or its licensors. Nothing in these Terms transfers any intellectual property rights to you.
Your data — including your product catalogue, sales history, and inventory records — remains yours. We do not claim ownership over your store data.
You grant us a limited, non-exclusive licence to access and process your store data solely for the purpose of providing the App's features to you.
8. Warranties and Disclaimers
The App is provided "as is" and "as available". While we take care to ensure the accuracy of our classifications and calculations, we do not warrant that:
- The App will be error-free, uninterrupted, or always available;
- Classification outputs, Days of Stock calculations, or any other metric will be accurate or suitable for any particular purpose;
- The App will meet your specific business requirements.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud or death or personal injury caused by negligence.
9. Limitation of Liability
To the fullest extent permitted by law, James Brown trading as StockPropel shall not be liable to you for any indirect, incidental, consequential, or punitive damages arising from your use of the App, including but not limited to loss of profit, loss of revenue, loss of data, or loss of business opportunity.
Our total aggregate liability to you in connection with the App shall not exceed the total subscription fees paid by you to StockPropel in the twelve (12) months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless James Brown trading as StockPropel and any employees or agents from and against any claims, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from your use of the App, your violation of these Terms, or your violation of any applicable law or third-party rights.
11. Modifications to the App and Terms
We reserve the right to modify, suspend, or discontinue any part of the App at any time. Where changes are material, we will provide reasonable notice via the App or email.
We may update these Terms from time to time. Continued use of the App after updated Terms are posted constitutes your acceptance of the revised Terms. The effective date at the top of this document will always reflect the date of the most recent update.
12. Termination
We may suspend or terminate your access to the App immediately if you breach these Terms or engage in conduct that we reasonably believe is harmful to other merchants, Shopify, or StockPropel.
Upon termination, your right to use the App ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable law, after which it will be deleted.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
